“The Kanga faction wants to change this rule to force you to surrender your democratic right to equal voting in the management and future of the MRC by changing the rules to put all the power in his hands and those who support him.”

MRC's board of directors takes “Kanga's attempt to take control of the company very seriously,” Keen said.

“Your committee has concerns about the validity of what has been proposed to the UN General Assembly, and is working hard to understand how this may impact your rights as members,” Kane wrote.

“We have also written to Mr. Kanga seeking clarification on various other aspects of the proposal. We await his response.

“There is no legal obligation to hold the meeting this week. The Human Rights Council belongs to all its members, and we will continue to do everything we can to protect your rights and the democratic governance that underpins them.”

Kane did not address allegations earlier this week that the club had introduced a safe word – “pineapple” – for board members to use in its meetings if they felt threatened or uncomfortable amid accusations of bullying and toxic behaviour.

But last Friday he rejected accusations made by board members Alison Saville and Catherine Kelly that the executive committee had a “longstanding poor culture”.

Kanga said he was disappointed that Kane sought to attack him personally in his letter to members.

“It is offensive to say that I am seeking to take over the club,” Kanga said.

“All I want is to have a board that is aligned with the key issues that members keep telling me they want resolved: the yard, keeping racing at Sandown, and ensuring no more money is wasted by building a white grandstand.”

The Medical Research Council will hold its annual general meeting as planned on September 26, and will hold an election from September 10 to September 24, Keane said.

The Chairman will step down at the AGM, leaving a vacancy on the Board, while fellow Committee member Mark Pratt stands for re-election.

In his letter, Kane said the MRC board is already dealing with three key issues that form the core of Kanga's media campaign.

He said the committee would review the riding arena situation after the spring carnival because it was “not operationally feasible” to do so earlier. He said plans to replace the glass-fronted Robert Clarke Grandstand had been put on hold until 2026, and said the Sandown Racecourse rezoning process was separate from any decision to sell the track.

Kanga said if the annual general meeting is held on September 26, he will invite newly elected committee members to join him on the three key issues.

“My aim is to have a unified board, which has not happened at the Medical Research Council for a long time,” he said.

“Matt has sent four emails to members in the last week or so, trying to spin a story that no one would believe and that most people would find simply baffling. He should let them vote.”
